Company's Secretary (30K-45K) (SDG-40199)
<Job Responsibilities>
Handling administrative, secretarial works and assisting management, all expats within the scope as well as supporting other departments as required.
Assisting head of company secretary office in arranging and handling all processes for corporate events for shareholders' meeting and board of directors meeting in accordance with applicable laws and regulations, the articles of association and best practice
Supporting audit committee meeting in administrative work;
Notice preparation
Meeting packs preparation
Submission of both & to committee members and concerned persons
Meeting facilities arrangement
Supporting other sub-committee meetings such as EXCO, CC, RMC and others upon request
Communicating and coordinating with the board of directors and executives regarding the above meetings
Assisting head of company secretary office and coordinating with related department regarding registrations in accordance with resolution of the board of directors meeting or shareholders meeting (i.e. capital. directors, shareholders, share certificates, and other concerns)
Commutation with shareholders regarding their rights and the company's information
Assisting in board of directors activities
Ensuring that corporate information disclosures to regulatory agencies which are handled by corporate secretary office are in accordance with the laws and regulations.
Preparing and keeping the registration of directors, annual reports, notices calling shareholders and board of directors meetings
Supporting head of company secretary office in managing the corporate secretary function to serve as the center for corporate records
Supporting in communication of company secretary office and compliance officers with BOT and other governmental bodies
Formulating and maintaining the sound corporate governance structures and its smooth operations with guidance from head of company secretary office
Preparing to create and update any policies, rules, procedure manuals and any other documents
Performing such other related duties that the management/ superior may assign
<Necessary Skill / Experience >
Thai nationality , Female, age 25-30 years old
Bachelor Degree in law or related field
At least 2 years working experience as company's secretary
Able to communicate in English
<Preferable Skill / Experience>
Experience from big corporate company
Knowledge in banking policies
Languages skills
